The terms that govern your use of trembar.ca and our online services
These Terms of Service ("Terms") govern your access to and use of www.trembar.ca and any related online services (together, the "Site") operated by Trembar Wholesale ("Trembar Wholesale", "we", "us", or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.
These Terms govern use of the Site only. Purchases of goods from Trembar Wholesale, and submissions of assets for sale to Trembar Wholesale, are governed by our separate Wholesale Terms of Sale, which apply in addition to these Terms.
The Site is intended for use by businesses and authorized representatives of businesses for legitimate commercial purposes related to the wholesale purchase, sale, and distribution of electronics. By using the Site you represent that you are at least the age of majority in your jurisdiction and, where you are submitting an inquiry or asset listing on behalf of a business, that you are authorized to act on that business's behalf.
You agree to use the Site only for lawful purposes. You will not:

All content on the Site — including text, graphics, logos, product descriptions, photographs, and software — is owned by or licensed to Trembar Wholesale and is protected by Canadian and international copyright, trademark, and other intellectual property laws. The "Trembar Wholesale" name and logo are trademarks of Trembar Wholesale.
You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Site for the commercial purposes described above. No other right or licence is granted, whether by implication, estoppel, or otherwise. You may not reproduce, modify, distribute, publicly display, or create derivative works from any portion of the Site without our prior written consent, except for normal browser caching and printing of individual pages for your own internal business records.
When you submit information through the Site (for example, through our partner-inquiry form or sell-to-us form), you represent that the information is accurate and that you have all rights necessary to provide it. You grant Trembar Wholesale a non-exclusive, royalty-free, worldwide licence to use that information for the purpose of evaluating your inquiry or asset listing, communicating with you, and operating our business. We will handle personal information in accordance with our Privacy Policy.
Do not submit confidential, proprietary, or sensitive personal information through the Site beyond what is reasonably necessary to evaluate your inquiry. If a submission contains highly sensitive information (for example, drive serial numbers tied to identifiable customer data), please contact us directly at info@trembar.ca to arrange a more appropriate channel.
Product descriptions, photographs, specifications, and availability shown on the Site are provided for general information only and may change without notice. We do not warrant that any description is accurate, complete, current, or error-free. Pricing shown on the Site (where shown) is indicative only and is not a binding offer; binding pricing is provided only in a written quotation issued by Trembar Wholesale and is governed by our Wholesale Terms of Sale.
We reserve the right to correct any errors or inaccuracies and to refuse or limit any inquiry at our discretion at any time prior to the issuance of a confirmed quotation.
The Site may contain links to third-party websites or use third-party services (such as analytics, fonts, or messaging providers). We do not control those third parties and are not responsible for their content, policies, or practices. Your interactions with any third party are solely between you and that third party.
The Site is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Trembar Wholesale disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation. We do not warrant that the Site, or any information obtained through it, will meet your requirements or be free of viruses or other harmful components.
To the maximum extent permitted by law, in no event will Trembar Wholesale, its directors, officers, employees, or agents be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages — including loss of profits, revenue, data, business opportunity, or goodwill — arising out of or in connection with your use of the Site, even if we have been advised of the possibility of such damages. Our total aggregate liability arising out of or relating to your use of the Site (as distinct from any purchase of goods, which is governed by our Wholesale Terms of Sale) will not exceed CAD $100.
You agree to defend, indemnify, and hold harmless Trembar Wholesale and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Site, any information you submit through it, or your breach of these Terms.
Our Privacy Policy describes how we collect, use, and safeguard personal information you provide. By using the Site, you consent to the practices described in the Privacy Policy. Information about how we use cookies and similar technologies is set out in our Cookie Policy.
We may update these Terms from time to time. The "Last updated" date below indicates when the most recent revision was published. Material changes will be highlighted on the Site or communicated to active partners by email where appropriate. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the courts of Ontario in respect of any dispute arising out of or relating to these Terms or your use of the Site, except that Trembar Wholesale may seek injunctive or equitable relief in any court of competent jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision will not constitute a waiver of that right or provision. These Terms, together with the Privacy Policy, Cookie Policy, and (where applicable) the Wholesale Terms of Sale, constitute the entire agreement between you and Trembar Wholesale concerning the Site.
